1. Introduction and Acceptance

These Terms and Conditions ("Terms") govern your use of Testzilla ("Service"), an AI-powered voice and chatbot testing platform operated by LEMA Logic Limited ("Company", "we", "us", "our"), a company registered in the Isle of Man.

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

2. Definitions

  • "Account": Your registered account on the Service

  • "Credits": The unit of measurement for Service usage

  • "Customer": Any person or entity using the Service

  • "Subscription": A recurring payment plan for Service access

  • "Test Data": Any data you upload, create, or generate while using the Service

  • "User": Any individual who accesses the Service through your Account


3. Account Registration

3.1 Eligibility

You must be at least 18 years old and have the legal capacity to enter into these Terms.

3.2 Account Information

You agree to:

  • Provide accurate, current, and complete information

  • Maintain and update your information

  • Keep your password secure and confidential

  • Accept responsibility for all activities under your Account

  • Notify us immediately of any unauthorized use

3.3 Account Termination

We reserve the right to suspend or terminate your Account for:

  • Violation of these Terms

  • Fraudulent or illegal activity

  • Non-payment of fees

  • Inactivity (after 12 months with notice)


4. Service Description

4.1 Platform Features

Testzilla provides:

  • Automated voice AI and chatbot testing

  • Manual testing tools

  • Security and adversarial testing

  • Post-call analysis (optional feature)

  • EasyAlerts webhook processing (optional feature)

  • Analytics and reporting

4.2 Service Availability

We strive for 99.9% uptime but do not guarantee uninterrupted service. We may perform scheduled maintenance with reasonable notice.

4.3 Service Modifications

We reserve the right to modify, suspend, or discontinue any part of the Service with reasonable notice.


5. Subscription and Pricing

5.1 Subscription Tiers

We offer the following subscription plans:

Starter Plan

  • Monthly Price: $49

  • Credits: 3,000

  • Credit Rate: $0.0163/credit

Growth Plan

  • Monthly Price: $199

  • Credits: 15,000

  • Credit Rate: $0.0133/credit

Pro Plan

  • Monthly Price: $999

  • Credits: 100,000

  • Credit Rate: $0.00999/credit

Enterprise Plan

  • Monthly Price: Custom

  • Credits: 500,000+

  • Credit Rate: Custom pricing

5.2 Credit Multipliers

Different test types consume credits at different rates:

  • LLM-only test: 1 credit

  • WebRTC voice test: 10 credits

  • Phone call test: 30 credits

5.3 Credit Rollover

  • Unused credits roll over to the next billing period

  • Maximum rollover capped at one month's allocation

  • Credits expire upon subscription cancellation

5.4 Billing

  • Subscriptions are billed monthly in advance

  • Payment processed via Paddle (our Merchant of Record)

  • All prices are in USD unless otherwise stated

  • Prices exclude applicable taxes (VAT/GST handled by Paddle)

5.5 Price Changes

We may change subscription prices with 30 days' notice. Your existing subscription pricing is grandfathered until you change tiers.


6. Refund Policy

6.1 Subscription Refunds

  • 14-Day Money-Back Guarantee: New subscribers may request a full refund within 14 days of their first subscription payment if not satisfied with the Service

  • After 14 Days: No refunds for partial subscription periods

  • Annual Plans: Prorated refund available within first 30 days

6.2 Credit Purchases (One-Time)

  • One-time credit purchases are non-refundable once credits have been used

  • Unused credits from one-time purchases may be refunded within 7 days of purchase

6.3 How to Request a Refund

  • Subject: "Refund Request"

  • Your account email

  • Reason for refund request

  • Transaction ID (if available)

We will process eligible refunds within 10 business days.

6.4 Chargebacks

If you initiate a chargeback without first contacting us, we reserve the right to:

  • Suspend your Account immediately

  • Dispute the chargeback

  • Recover costs associated with the dispute

6.5 Service Issues

If the Service is unavailable due to our fault for more than 48 hours, you may request a prorated credit for the downtime period.


7. Acceptable Use

7.1 You Agree To

  • Use the Service only for its intended purpose (testing AI systems)

  • Comply with all applicable laws and regulations

  • Respect intellectual property rights

  • Maintain the security of your Account

7.2 Synthetic Data Requirement

Testzilla is designed to be used with test data, not actual customer or user information. Ensure that your testing does not disclose any actual confidential information.

You must use synthetic/fictional data for all testing. This means:

  • No real customer personal data

  • No real phone numbers (unless your own for testing)

  • No real payment card numbers

  • Fictional personas and scenarios only

Enforcement: Testzilla reserves the right to suspend accounts immediately for suspected processing of real personal data without prior notice. We may implement automated monitoring to detect potential violations.

7.3 Prohibited Activities

You must NOT:

  • Upload or access real personal data without explicit consent and lawful basis

  • Attempt to access other customers' data

  • Reverse engineer or copy the Service

  • Use the Service for illegal purposes

  • Conduct tests against systems you don't own or have permission to test

  • Resell or sublicense the Service without authorization

  • Overwhelm the Service with excessive requests (rate limits apply)

  • Use the Service to send spam or harass others

7.4 Security Testing

Security and adversarial testing (jailbreak attempts, prompt injection, vulnerability testing) is permitted only against your own AI systems for the purpose of identifying and mitigating security risks.

7.5 Voice Data (Biometric)

  • Synthetic voices (text-to-speech) are the default

  • Human voice testing requires explicit consent from all recorded individuals

  • You are responsible for obtaining and documenting consent

  • We treat all voice data as biometric data with enhanced security


8. Intellectual Property

8.1 Our Intellectual Property

The Service, including software, algorithms, designs, and documentation, is owned by LEMA Logic Limited and protected by intellectual property laws.

8.2 Your Data

You retain ownership of your Test Data. By using the Service, you grant us a limited license to:

  • Process your data to provide the Service

  • Create anonymized, aggregated insights (no personal data)

8.3 Feedback

Any feedback or suggestions you provide may be used by us without obligation to you.


9. Confidentiality

9.1 Your Confidential Information

We will:

  • Treat your Test Data as confidential

  • Not share it with third parties except as needed to provide the Service

  • Implement appropriate security measures

9.2 Our Confidential Information

You agree not to disclose our pricing (except publicly available), technical specifications, or other proprietary information.


10. Data Protection

10.1 Privacy Policy

Our Privacy Policy explains how we collect, use, and protect your data.

10.2 Data Processing Agreement

A Data Processing Agreement (DPA) is mandatory for all customers subject to GDPR and will be provided within 7 days of account creation. For other customers, a DPA is available upon request. Contact [email protected].

10.3 Data Retention

  • Test Data: Per your subscription plan (90 days - 2 years)

  • Account Data: Active account + 30 days after closure

  • Transaction Data: 7 years (legal requirement)

10.4 Data Export

You may export your data at any time via the platform or by request.


11. Warranties and Disclaimers

11.1 Service Warranty

We warrant that the Service will perform substantially as described in our documentation.

11.2 Disclaimer

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • MERCHANTABILITY

  • FITNESS FOR A PARTICULAR PURPOSE

  • NON-INFRINGEMENT

  • ACCURACY OF RESULTS

11.3 Test Results

Test results are for informational purposes. We do not guarantee:

  • 100% accuracy of test analysis

  • Detection of all issues in your AI systems

  • Compliance with any specific standard or regulation


12. Limitation of Liability

12.1 Exclusions

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, or consequential damages

  • Loss of profits, revenue, data, or business opportunities

  • Damages arising from your use of third-party services

  • Damages exceeding the amount paid by you in the 12 months before the claim

12.2 Essential Services

Nothing in these Terms excludes liability for:

  • Death or personal injury caused by negligence

  • Fraud or fraudulent misrepresentation

  • Any liability that cannot be excluded by law


13. Indemnification

You agree to indemnify and hold harmless LEMA Logic Limited from claims arising from:

  • Your use of the Service

  • Your violation of these Terms

  • Your violation of any third-party rights

  • Your Test Data or content

  • Your failure to obtain required consents


14. Termination

14.1 By You

You may cancel your subscription at any time via the platform or by contacting support. Cancellation takes effect at the end of your current billing period.

14.2 By Us

We may terminate your Account:

  • For violation of these Terms (immediate)

  • For non-payment (after 14 days' notice)

  • For any reason with 30 days' notice

14.3 Effect of Termination

Upon termination:

  • Your access to the Service will end

  • Your data will be deleted within 30 days (unless legally required to retain)

  • Outstanding fees remain payable

  • Sections 8, 9, 11, 12, 13, and 16 survive termination


15. Changes to Terms

We may modify these Terms by:

  • Posting updated Terms on our website

  • Notifying you via email

  • Providing at least 30 days' notice for material changes

Continued use after changes constitutes acceptance.


16. General Provisions

16.1 Governing Law

These Terms are governed by the laws of the Isle of Man, without regard to conflict of law principles.

16.2 Dispute Resolution

Any disputes shall be resolved through:

  1. Good faith negotiation (30 days)

  2. Mediation (if negotiation fails)

  3. Courts of the Isle of Man (binding)

16.3 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and us.

16.4 Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

16.5 Waiver

Failure to enforce any right does not constitute a waiver.

16.6 Assignment

You may not assign these Terms. We may assign to a successor or affiliate.

16.7 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control.
